Ho Chi Minh City, 19 September 2022 – Released by the Asian Business Law Institute (ABLI) with support from its parent organization Singapore Academy of Law, the Contract Laws of Asia – Indemnities is the first full-fledged publication under ABLI’s Contracts Project which aims to produce a set of standard-form contract terms where risks are relatively evenly allocated and which can be valid in a majority of Asian jurisdictions.

Ho Chi Minh City, 24 August 2022 - Indochine Counsel is proud to share that our managing partner, Dang The Duc, has been named in the Asia Super 50 TMT Lawyers 2022 by Asian Legal Business (ALB), which highlights outstanding lawyers in the technology, media and telecommunication sectors in Asia, based on the recommendations and feedback from clients and peers. This is the second time that ALB has published this list of top practitioners in TMT space in the region. In addition to receiving a highlighted article, Duc also bears the distinction of being the only lawyer from Vietnam to make this year’s list. Ho Chi Minh City, 18 January 2022 – Indochine Counsel is pleased to announce that Managing Partner Dang The Duc has been recognized by the Asia Business Law Journal for his work as a lawyer in Vietnam. In a ranking released on 18 January 2022, Asia Business Law Journal listed the top 100 lawyers in Vietnam. Not only was Duc included on the list, but he was featured prominently in the accompanying article that announced the list.

As announced by the parties, on 5 October 2021, Goldman Sachs Asset Management (GS) has completed an acquisition of majority stakes in TLC Modular, a group with business interests in Singapore, Australia, New Zealand and manufacturing and design facilities in Vietnam. Indochine Counsel acted as the Vietnamese legal counsel for TLC Modular Group in this transaction.

On 17 September 2021, Managing Partner Dang The Duc spoke at the Special Purpose Acquisition Company (SPAC) Webinar hosted by the Asian member-institutes of the International Association of Financial Executives Institutes (IAFEI). Over three hundred members were in attendance and had the opportunity to listen to Indochine Counsel’s managing partner and several other distinguished guests discuss issues surrounding SPACs. Mr. Duc spoke about special issues facing Vietnamese companies who are interested in listing on foreign stock exchanges using the SPAC model. As always we are pleased that our illustrious managing partner has had the chance to share his thoughts with a community of financial leaders throughout Asia. Congratulations Duc

On 15 September 2021, the leadership of Ho Chi Minh City announced that they will be extending the social distancing in Ho Chi Minh City until 30 September 2021. The social distancing will continue to be under the conditions set forth in the Prime Minister’s Directive No. 16 and other specific restrictions already in place. The goal is to have 80% of the city vaccinated by that time, though it is difficult to tell whether that will be possible given current vaccine availability. This extension will hopefully allow the number of community transmissions to fall until the city reaches herd immunity.

On 31 July 2021, Vietnam’s Vice Prime Minister Vu Duc Dam issued a new circular extending the social distancing in Ho Chi Minh City and other hard hit localities for 14 more days. This continue social distancing will be governed by Directive No. 16 until at least 14 August. In addition, Ho Chi Minh City will continue to impose a curfew between 18:00 and 6:00 in which only emergency vehicles will be allowed on the streets, and even during the day travel between districts and wards within the city will be restricted. This is the second month of some form of social distancing for Ho Chi Minh City. On 24 July, Vietnam’s capital, Hanoi, began a 15-day lockdown under Directive No. 16 which is still in effect. Indochine Counsel continues to curtail our in-person activities though we are still available for remote services as outlined previously.

Ho Chi Minh City authorities have extended the lockdown on 20 July. The city will now be locked down according to Prime Minister’s Directive No. 16 until at least 1 August. In addition, starting 26 July, Ho Chi Minh City will impose a curfew between 18:00 and 6:00 in which only emergency vehicles will be allowed on the streets. At Indochine Counsel we have been closely following the developments of the Covid-19 virus, as the fourth outbreak has hit Vietnam and particularly Ho Chi Minh City and nearby provinces. As of today, the leaders of the City have instructed all localities to implement the Prime Minister’s Directive No. 16/CT-TTg dated 31 March 2020 on implementation of urgent measures for prevention and control of Covid-19 calling for individual and organizational responsibility in dealing with the outbreak. Accordingly, Ho Chi Minh City will enter into a citywide lockdown for 15 days starting from 0:00 AM, 9 July 2021.

Ho Chi Minh City, 8 June 2021 --- Indochine Counsel advised Truong Hai Auto Corporation (Thaco Group) in acquisition of a 100% stake in E-mart Vietnam Co., Ltd. from South Korea’s largest retailer E-mart Inc. As part of the deal, the parties have also entered into a strategic franchise arrangement whereby E-mart will no longer operate its brand discount stores in Vietnam, but all stores will be operated by Thaco using the E-mart brand.
